There are no special provisions in German company law for the setting up of a joint venture. Domestic and foreign partners are partners of the joint venture as in other companies too. In incorporated companies they are only liable to the amount of their investment; in partnerships, liability of the limited partners can be restricted; only one of the partners (general partner) is liable in full. There are neither maximum shares and no licensing requirements. The new foundation simply requires an entry of the notarial Memorandum of Association in the register of companies.
