Representation of the GmbH
The GmbH is represented both in and out of court by its executives. The executives can be, but do not have to be, shareholders. They are appointed in the Memorandum of Association or at the shareholders’ meeting. The appointment can be retracted.
Due to the simplicity of ist founding procedure and structure, the GmbH is often the most suitable legal form for foreign corporations wanting to limit the risk of their activities to capital invested in the Federal Republic.
